These Terms & Conditions apply to your use of the Helena Traill and nooh Studio websites and, where relevant, purchases made through the Helena Traill online shop.

By using these websites, you agree to these terms.

1. About us

Helena Traill is an artist, designer and storyteller working across art, design and creative projects.

nooh Studio Ltd is a company registered in England and Wales under company number 13511705 and provides design, creative and consultancy services.

Throughout these terms, “Helena Traill”, “nooh”, “we”, “us” and “our” may refer to Helena Traill and/or nooh Studio Ltd as appropriate to the relevant service or transaction.

2. Using our website

You may use our websites for lawful personal and business purposes.

You must not misuse the websites, attempt to gain unauthorised access to them, introduce malicious software, scrape or systematically reproduce their content without permission, or use the websites in a way that infringes another person's rights.

We may update, change, suspend or remove website content from time to time.

We cannot guarantee that the websites will always be available or completely free from errors.

3. Intellectual property

Unless otherwise stated, the artwork, paintings, photography, films, illustrations, designs, branding, written content and other creative material displayed on these websites belong to Helena Traill, nooh Studio Ltd and/or the relevant credited creator.

Purchasing an original artwork, print or other product does not transfer copyright or intellectual property rights to the buyer.

You may not reproduce, copy, publish, sell, distribute, commercially exploit, modify or create derivative works from our material without prior written permission.

You are welcome to share links to our publicly available website pages and social content, provided the work is appropriately credited and is not presented misleadingly.

4. Artwork and shop purchases

Products are described and photographed as accurately as reasonably possible.

Original artwork is handmade and photographs displayed on screens cannot perfectly reproduce colour, texture, scale or surface detail. Small variations between an image on screen and the physical artwork are therefore possible.

Prices are displayed in pounds sterling unless otherwise stated.

Any applicable delivery costs will be shown or agreed before the purchase is completed.

An order is not accepted until payment has been successfully processed and you have received confirmation of the order.

If an item has accidentally been listed with an obvious pricing or availability error, we reserve the right to cancel the order and issue a full refund.

5. Payment

Full payment must normally be received before artwork or goods are dispatched or collected.

Payment is considered complete once cleared funds have been received.

For purchases arranged directly rather than through the online shop, accepted payment methods and payment dates will be confirmed with you.

Additional agreed expenses such as specialist framing, packaging, shipping, installation or insurance may be charged separately.

6. Commissions and bespoke artwork

Commissioned work will be subject to an agreed brief, price, payment schedule and timescale.

Unless otherwise agreed in writing, a 50% non-refundable deposit is required before commissioned artwork begins.

The remaining balance must be paid before the completed artwork is dispatched or collected.

Changes requested outside the agreed commission brief may incur an additional charge.

Commissioned and personalised works cannot normally be returned or cancelled once work has begun simply because the customer has changed their mind. This does not affect statutory rights where goods are faulty or not as described.

Any additional commission terms supplied for a particular project will form part of the agreement between us.

7. Framing

Where framing is included or arranged as part of an order, the specification and cost will be agreed before work begins.

Custom framing and other bespoke additions are normally non-refundable once they have been ordered or produced.

8. Delivery and collection

Delivery estimates are provided in good faith but may occasionally be affected by circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address.

Please contact us promptly if an artwork or product arrives damaged and retain its packaging while the issue is investigated.

9. Ownership and copyright of artwork

Ownership of a physical artwork passes to the buyer once full payment has been received.

Copyright remains with Helena Traill, unless expressly transferred under a separate written agreement.

This means Helena Traill may continue to photograph, reproduce, publish, exhibit and use images of the artwork, including for prints, publications, websites, social media, exhibitions, portfolios and promotional material.

The buyer may not commercially reproduce the artwork without prior written permission.

10. Design and consultancy services

Design, strategy, co-design, website, creative and consultancy work undertaken through nooh Studio Ltd is normally governed by a separate proposal, quotation, statement of work or contract.

Where there is a conflict between these website terms and a separately agreed client contract, the separately agreed contract will take precedence in relation to that project.

Project-specific terms may cover areas including payment schedules, cancellation, intellectual property, licensing, expenses, project delays, third-party costs and liability.

11. Third-party services and links

Our websites may link to or integrate with third-party websites and services.

Those services have their own terms and privacy practices. We are not responsible for the content, availability or privacy practices of third-party websites outside our control.

12. Liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded under applicable consumer law.

To the extent permitted by law, we are not responsible for indirect or consequential losses arising from use of the websites.

Business and consultancy clients may be subject to separate liability provisions contained in their individual project agreement or contract.

13. Privacy and cookies

Your use of our websites is also subject to our Privacy & Cookies Policy, which explains how personal information and cookies are handled.

14. Changes to these terms

We may update these Terms & Conditions from time to time to reflect changes to our services, websites or applicable law.

The latest version will be published on this page with the date it was last updated.

15. Governing law

These terms are governed by the laws of England and Wales.

Nothing in these terms affects any rights you may have as a consumer to bring proceedings in another part of the United Kingdom where applicable.
